Upon entry of a person’s particulars on the list of buyers, TMA will notify that person of the contact details of all persons who particulars are at that time entered on the list of sellers interested to sell shares and willing to accept the amount particularised or a lesser amount as the amount per share that person is willing to pay.

Submission to TMA of this request constitutes acceptance of the terms and conditions on which TMA will accept and deal with requests for inclusion of a person’s particulars on the list of persons interested to buy shares in TMA.
 

TERMS AND CONDITIONS ON WHICH TMA GROUP OF COMPANIES LIMITED ACCEPTS AND DEALS WITH REQUESTS BY PERSONS FOR ENTRY OF THEIR PARTICULARS TO THE LIST OF PERSONS INTERESTED TO BUY SHARES OR OF PERSONS INTERESTED TO SELL SHARES IN THE COMPANY


1.

The lists of particulars of persons interested to buy shares or to sell shares in TMA are compiled by TMA from particulars lodged with TMA by such persons to facilitate contact between persons so listed in respect of shares in TMA.
2. TMA is not and does not act as an agent of any person and does not operate a market in shares
in TMA.
3. TMA gives no warranty with respect to the said lists and excludes liability to every person in respect of:
(a)
 any delay, error or omission in the inclusion of such person’s particulars in a list (howsoever caused);

(b)

anything that occurs or does not occur in the course of a transaction (if any) involving a person whose name and particulars is entered on a list

and each person who requests listing of particulars or whose particulars are listed releases TMA from all and any liability TMA may otherwise have had to such person.

Each person who requests listing of particulars indemnifies TMA from and against every claim made by that person against TMA in contravention of the release in Condition 3 and also against every claim made against TMA that arises out of or is connected with inclusion of that person’s particulars on a list or with any transaction undertaken by that person including, but not limited, any dispute or breach of contract between that person and any other person.

TMA may cease maintenance of the lists or either of them at any time and without notice to any person.
6. These conditions are governed by and shall be construed in accordance with the laws of New South Wales and each person requesting inclusion of that person’s particulars on a list irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of New South Wales and also waives any right to object to any proceeding being brought in those courts.
